GENERAL TERMS AND CONDITIONS NHL Stenden

Definitions:

NHL Stenden: Legal owner of products published on NHL Stenden. Keiretsu Europe B.V.: Supplier of NHL Stenden that manages NHL Stenden and is responsible for delivering the articles.
Orderer: Client, or anyone who enters into or wishes to enter into an agreement with Keiretsu Europe B.V., or for whom Keiretsu Europe B.V. makes an offer or performs a delivery or service, as well as their successors or assigns.
NHL Stenden: A special online store environment where the orderer can view and order NHL Stenden gifts.

Article 1. Applicability

1.1 These general terms and conditions apply to all offers and agreements between Keiretsu Europe B.V. and the orderer, of any kind, as well as to any obligations arising from them. Deviations can only be agreed upon in writing with Keiretsu Europe B.V.

1.2 If Keiretsu Europe B.V. does not always require strict compliance with these conditions, this does not mean that these conditions do not apply or that Keiretsu Europe B.V. loses the right to demand strict compliance with these conditions in future, whether or not similar cases.

1.3 If any provision of these general terms and conditions is for any reason not valid or applicable, these conditions will remain in force for the rest.

1.4 Purchase and other conditions declared applicable by the orderer do not bind Keiretsu Europe B.V. unless they are accepted in writing by Keiretsu Europe B.V. Such acceptance cannot be inferred from the fact that Keiretsu Europe B.V. leaves unchallenged a communication from the orderer that they do not accept the terms of Keiretsu Europe B.V. and declares their own terms applicable.

Article 2 Offers

2.1 All offers and quotations made by Keiretsu Europe B.V., in any form, are based on the description of the products and/or services offered to the orderer.

2.2 An offer is only binding if it is made in writing by Keiretsu Europe B.V. and includes a period during which the offer is open for acceptance.

2.3 Offers on NHL Stenden are directed to the orderer at NHL Stenden and are valid while stocks last or until the date mentioned with the product. All articles are available from stock unless otherwise stated.

2.4 Keiretsu Europe B.V. reserves the right to impose conditions on fulfilling the order. Keiretsu Europe B.V. will, upon request, inform the orderer in writing of the reason for its decision.

Article 3. Agreement

3.1 The agreement is concluded, subject to the provisions of Article 2, at the moment of acceptance by the orderer of the offer and compliance with the conditions set therein.

3.2 If the orderer has accepted the offer electronically, Keiretsu Europe B.V. will immediately confirm receipt of the acceptance of the offer electronically. As long as the receipt of this acceptance is not confirmed, the orderer can dissolve the agreement.

3.3 Keiretsu Europe B.V. can - within legal frameworks - inform itself whether the consumer can fulfill their payment obligations, as well as all those facts and factors that are important for a responsible conclusion of the agreement at a distance. If Keiretsu Europe B.V., based on this investigation, has good reasons not to enter into the agreement, it is entitled to refuse an order or request or to attach special conditions to its execution, stating the reasons.

3.4 Additions and changes to an agreement only bind Keiretsu Europe B.V. insofar as they are confirmed in writing by Keiretsu Europe B.V.

3.5 Keiretsu Europe B.V. is authorized, if it deems it necessary or desirable for proper execution of the assignment given to it, to engage third parties. The costs thereof will be charged to the orderer in accordance with the provided quotations.

Article 4. Prices

4.1 The prices for the offered products and services are stated in euros, including VAT and excluding shipping costs, any additional taxes, or other levies, unless otherwise stated or agreed in writing. Administration and shipping costs, any additional taxes or other levies are calculated per product. Advisory prices are determined in consultation with the manufacturer and/or supplier. No rights can be derived from these.

4.2 (Temporary) price adjustments can occur. Price information is published on NHL Stenden. Keiretsu Europe B.V. and NHL Stenden accept no liability for the consequences of typographical errors.

4.3 Keiretsu Europe B.V. is not obliged to deliver the product at the incorrect (lower) price, even if we have already sent you a shipping confirmation, if the incorrect price is obviously and unmistakably a mistake and you could reasonably have recognized it as such.

Article 5. Complaints about Defects or Damage

5.1 An order can be returned by the orderer free of charge within eight (8) working days if it is defective or damaged.

5.2 The orderer must send an email to support@keiretsu-europe.nl stating the order number.

5.3 All returned products must be packed in the original packaging.

5.4 Returned products must be sent along with the original invoice, packing slip, or fax and return notification.

5.5 If and insofar as the complaint is found to be justified by Keiretsu Europe B.V., Keiretsu Europe B.V. will, at its discretion and within a reasonable period, either repair the defect or replace the defective items, without the orderer being entitled to any compensation.

5.6 Complaints do not relieve the orderer of their payment obligations to Keiretsu Europe B.V.

Article 6. Other Complaints

6.1 An order can be returned by the orderer within seven (7) working days if it is not defective or damaged.

6.2 All returned products must be received in the original, unopened packaging, undamaged, and sufficiently packed for shipping. The products must be in a saleable condition and suitable for sale. Returned products must be sent along with the original invoice, packing slip, or fax and return notification.

6.3 Repair and replacement costs will be charged if the products are damaged or missing. This can affect the amount of the refund;

6.4 When using returns to Keiretsu Europe, the administration and shipping costs (of the initial shipment and the return) that the orderer paid when ordering the product will be deducted from the refunded amount. The orderer also pays the shipping costs for the return.

6.5 An order can be modified free of charge within eight (8) working days, provided the order has not yet been shipped.

6.6 If and insofar as the complaint is found to be justified by Keiretsu Europe B.V., Keiretsu Europe B.V. will, at its discretion and within a reasonable period, either repair the defect or replace the defective items, without the orderer being entitled to any compensation.

6.7 Complaints do not relieve the orderer of their payment obligations to Keiretsu Europe B.V.

Article 7. Payment

7.1 On invoice: Payment is made by monthly invoice addressed to NHL Stenden based on the budget number.

7.2 Direct payment: Payment is made via iDeal, credit card, or Sofort. 

Article 8. Retention of Title

8.1 All items delivered to the orderer remain the property of Keiretsu Europe B.V. until full payment of all amounts, including any interest and costs, due by the orderer for the items delivered or to be delivered under the agreement or services performed or to be performed, as well as for claims due to failure to comply with said agreement.

8.2 The orderer is obliged to handle the items with care and is not entitled to encumber, pledge, or establish a (silent) lien on the delivered items other than with the written permission of Keiretsu Europe B.V., as long as the orderer has not fully met their obligations to Keiretsu Europe B.V.

8.3 In the event that Keiretsu Europe B.V. terminates the order in whole or in part, it is entitled to reclaim the unpaid portion of the delivered items. Termination and/or reclamation does not affect Keiretsu Europe B.V.'s right to compensation.
